By using the Website, you agree to the Website-related provisions. Business terms apply when incorporated into or accepted with a quotation, order confirmation, proposal, invoice, digital approval or other written engagement.

Website Terms of Use
01About PRAAVA
The Website is operated by PRAAVA Designs Private Limited, trading as "PRAAVA". PRAAVA curates, designs, sources, develops and supplies premium furniture, décor and project-related products and services for residential, hospitality and commercial projects in India and internationally.
02Acceptance, Capacity and Electronic Communications
By accessing or using the Website, you confirm that you are legally capable of entering into a binding agreement. Where you act for an organisation, you confirm that you have authority to bind that organisation.
You agree that enquiries, approvals, order confirmations, invoices, notices and contracts may be communicated and accepted electronically, including by email, authenticated messaging, digital signature, portal approval or other recorded electronic means.
03Website Content Is Informational and Not a Binding Offer
Website content is provided for general information, inspiration and preliminary evaluation. It does not constitute a binding offer, professional opinion, warranty, quotation, reservation of stock or commitment to manufacture, supply, deliver or perform Services.
A transaction is binding only when PRAAVA issues or accepts a written order confirmation, signed proposal, project agreement or other written acceptance and receives any required advance. Product descriptions, indicative prices, dimensions, lead times and availability may change before that point.
04Design and Visual Representation
Lifestyle imagery, renders, concept visuals, sketches, mood boards, drawings, layouts, interior compositions and samples may be conceptual, digitally generated, edited, staged or shown in representative environments. They communicate design intent and may not depict an immediately available standard product.
Apparent colour, scale, texture, proportion and finish may vary because of screen calibration, image processing, lighting, photography, viewing conditions, manufacturing methods and the characteristics of natural or handmade materials. Only the final written specification and approved physical or digital sample, where applicable, govern an order.
05Permitted Use
You may access and use the Website for lawful personal or internal business evaluation of PRAAVA's offerings. Any other use requires PRAAVA's prior written permission.
06Prohibited Use
You must not use the Website in a manner that infringes rights, disrupts systems, misrepresents affiliation, facilitates unlawful activity or harms PRAAVA, its clients, suppliers or other users.
- copy, reproduce, republish, sell, license, distribute, frame, mirror or commercially exploit Website content;
- scrape, crawl, harvest, download in bulk, data-mine or use automated tools to collect Website content or supplier information;
- use Website content, designs, images or data to train, test or improve an artificial-intelligence or machine-learning model without PRAAVA’s written consent;
- reverse engineer, bypass security, introduce malicious code, probe vulnerabilities or interfere with Website operation;
- remove copyright, trademark, attribution, watermark or proprietary notices; or
- use PRAAVA’s name, marks, designs, content or imagery in advertising, comparison marketing or social media in a misleading or unauthorised manner.
07Intellectual Property in Website Content
Unless expressly stated otherwise, all rights in the Website and its contents—including furniture and product designs, concepts, drawings, CAD files, technical details, joinery details, renderings, photographs, graphics, videos, text, product names, trade dress, logos, website layout and databases—are owned by or licensed to PRAAVA.
No right or licence is granted except the limited right to view the Website under these Terms. Unauthorised use may result in injunctive relief, damages, account suspension and other remedies available under law.
08Third-Party Rights and Attributions
Certain brands, products, materials, images or marks may belong to third parties and are used for identification, reference or with permission. Their appearance does not imply endorsement unless expressly stated. You must respect all third-party rights and usage restrictions.
09Enquiries, Materials and Unsolicited Submissions
Information submitted through the Website must be accurate, lawful and not infringe confidentiality, privacy or intellectual-property rights. You authorise PRAAVA to use submitted information, drawings, images and briefs solely to evaluate and respond to your enquiry, prepare a proposal and perform an agreed engagement.
Do not submit trade secrets or highly confidential information before a written confidentiality arrangement is in place. Unsolicited concepts or designs will not be treated as confidential merely because they are submitted through the Website.
10Privacy, Cookies and Marketing Communications
PRAAVA’s collection and use of personal data is governed by its Privacy Policy and, where applicable, Cookie Policy, each available on the Website. Those policies form part of these Terms.
Marketing communications will be sent only where permitted by law or with appropriate consent. You may unsubscribe using the method stated in the communication, but PRAAVA may still send transactional or service-related messages.
11Third-Party Links, Platforms and Services
The Website may link to third-party websites, social networks, maps, payment providers, logistics providers or other services. PRAAVA does not control and is not responsible for their availability, security, content, terms, privacy practices or performance. Use of third-party services is at your own discretion and may be governed by separate terms.
12Website Availability and Cybersecurity
PRAAVA aims to keep the Website accurate, secure and available but does not warrant uninterrupted, error-free or malware-free operation. Access may be suspended for maintenance, security, upgrades or reasons beyond PRAAVA’s control. You are responsible for using suitable security protections and maintaining backups of information you submit.
Standard Business Terms
13Scope, Incorporation and Order of Precedence
These Standard Business Terms apply when referenced in, attached to or accepted with a PRAAVA quotation, proposal, scope, invoice, order confirmation or project agreement.
If documents conflict, the following order applies unless expressly agreed otherwise: (a) signed project agreement or order confirmation; (b) approved scope and specifications; (c) quotation and accepted change orders; (d) these Terms; and (e) Website content. No oral statement changes an agreement unless confirmed in writing by an authorised PRAAVA representative.
14Services and Excluded Responsibilities
PRAAVA will provide only the Goods and Services expressly described in the accepted written scope. Any item not stated is excluded.
Unless expressly included, PRAAVA is not appointed as architect, structural engineer, MEP consultant, statutory consultant, principal contractor or site safety manager and is not responsible for structural adequacy, building approvals, code compliance, concealed site conditions or work performed by others. The Client must engage appropriately qualified professionals where required.
15Consultations, Proposals and Preliminary Work
Consultations and preliminary discussions are intended to understand requirements and evaluate feasibility. Concepts, layouts, mood boards, sketches, samples, specifications, budgets and quotations shared before formal appointment are indicative and remain PRAAVA’s property.
PRAAVA may charge consultation, design-development, sampling, travel, survey or proposal fees. Unless expressly stated otherwise, these fees compensate time and expertise and are not refundable merely because the Client does not proceed.
16Quotations, Pricing, Taxes and Validity
Unless the quotation states otherwise, it is valid for 30 days and does not reserve production capacity, stock, supplier allocation or delivery dates.
Prices are based on the stated scope, quantities, specifications and assumptions. GST, withholding taxes, freight, insurance, customs duties, import/export charges, local permits, site handling, storage, installation, mock-ups and other costs are excluded unless specifically included.
PRAAVA may correct an obvious clerical, typographical or calculation error before final settlement. If a price-affecting error is identified after acceptance, PRAAVA will notify the Client and the parties will agree a correction or cancellation of the affected item without liability beyond amounts paid for that item.
17Order Acceptance and Commencement
An enquiry, purchase order or payment does not by itself oblige PRAAVA to accept an order. PRAAVA may accept or reject an order in whole or part based on feasibility, capacity, compliance, credit, supplier availability or other legitimate business considerations.
Work or procurement commences only after written acceptance, receipt of cleared funds for the required advance, completion of KYC or compliance checks where applicable, and receipt of all information and approvals reasonably required.
18Client Information and Responsibilities
The Client must provide timely, complete and accurate briefs, drawings, dimensions, site conditions, access information, quantities, performance requirements, usage conditions and decisions. PRAAVA may rely on information supplied by the Client and its consultants.
The Client is responsible for ensuring that selected Goods and Services are suitable for the intended location and use, including dimensions, access routes, floor loading, fire and safety requirements, electrical ratings, humidity, climate, maintenance and regulatory approvals, except to the extent expressly included in PRAAVA’s scope.
19Site Measurement, Access and Concealed Conditions
Where the Client or a third party provides measurements, PRAAVA may treat them as accurate. Where PRAAVA measures the site, measurements are based on reasonably visible and accessible conditions at the time.
The Client must provide safe, unrestricted and timely access. PRAAVA is not responsible for errors caused by concealed services, uneven construction, subsequent site changes, inaccurate third-party drawings, inaccessible areas or conditions that could not reasonably have been identified. Re-measurement, redesign, remanufacture, delay or abortive visits caused by such matters may be charged.
20Approvals and Production Authority
The Client must carefully review and approve drawings, dimensions, materials, finishes, samples, upholstery, hardware, grain direction, orientation, quantities, site interfaces and specifications before production or procurement.
An approval given by email, message, portal, signed drawing, meeting record or other recorded written means authorises PRAAVA to proceed. Approved documents become the controlling production reference. The Client bears the cost and schedule impact of errors not identified before approval, except where caused solely by PRAAVA’s failure to follow the approved information.
21Changes, Variations and Change Orders
Any change after quotation, approval or commencement may affect design fees, price, taxes, wastage, procurement commitments and lead time. PRAAVA is not required to implement a variation until it is documented and any additional advance is paid.
Where urgent site conditions require immediate action to avoid loss or delay, PRAAVA may request written approval by email or message. If the Client instructs work to proceed, the instruction will be treated as a change order even if a formal document follows later.
22Material Availability, Substitutions and Price Escalation
Materials, finishes, hardware and third-party products are subject to production feasibility and supplier availability. If an approved item becomes unavailable, discontinued, delayed, restricted or commercially impracticable, PRAAVA may propose a reasonably comparable alternative for Client approval.
If costs materially increase because of commodity prices, foreign exchange, taxation, freight, duties, regulation, minimum-order quantities or supplier revisions after the quotation validity period, PRAAVA may issue a revised price before placing the affected commitment. The Client may accept the revision or remove the affected uncommitted item, subject to payment for completed work and non-cancellable commitments.
23Payment Terms, Retention of Work and Late Payment
Payment milestones, currency, taxes and banking details will be stated in the applicable commercial document. Payments must be made without set-off, counterclaim or deduction except where required by law.
PRAAVA may suspend design, procurement, production, delivery, installation, warranties or handover while any undisputed amount is overdue. Timelines will extend by the period of delay plus reasonable remobilisation time. The Client is responsible for reasonable storage, demobilisation, remobilisation, collection and recovery costs caused by late payment.
Late-payment interest may be charged at the rate stated in the accepted quotation or agreement, or the maximum lawful rate if lower. Title to Goods, final drawings, editable files and usage licences does not pass until all related amounts are received in cleared funds.
24Cancellation, Termination and Refunds
The Client may request cancellation in writing, but cancellation is effective only when acknowledged by PRAAVA. Design fees earned, consultation fees, sampling charges, procurement commitments, supplier deposits, labour, logistics, reserved production capacity and other costs already incurred or irrevocably committed remain payable.
Advances are applied against project mobilisation and commitments. Any unapplied balance will be dealt with in accordance with the accepted agreement and applicable law. For bespoke, personalised, made-to-order, imported or non-resalable Goods, cancellation may result in the full price becoming payable once production or binding procurement has begun.
PRAAVA may terminate or suspend an engagement for material breach, non-payment, unlawful instructions, unsafe conditions, abusive conduct, insolvency risk or prolonged Client delay, after reasonable notice where practicable. Termination does not affect accrued rights, payment obligations, confidentiality, intellectual property or liability provisions.
25Bespoke and Custom Goods
Bespoke Goods are manufactured or procured to approved dimensions and specifications. Because they are project-specific, they cannot ordinarily be returned, exchanged or resold.
After approval or commencement, dimensional, material, finish or design changes may require redesign, new samples, remanufacture or new procurement and will be chargeable. PRAAVA may use reasonable construction methods, internal components and production details that do not materially alter the approved appearance, function or quality.
26Natural Materials, Handcrafted Finishes and Tolerances
Wood, veneer, marble, stone, leather, fabric, metal, glass, cane and handcrafted finishes naturally vary in grain, veining, shade, texture, pattern, patina, pores, knots, movement and ageing. Matching across pieces, batches or samples cannot be absolute. These characteristics are not defects unless they fall outside the agreed specification or reasonable industry tolerance.
Reasonable dimensional and alignment tolerances may arise from handcrafted production, upholstery compression, moisture movement, installation conditions and site irregularities. Samples are representative rather than guaranteed replicas of the entire supply.
27Timelines, Sequencing and Client Delay
Lead times and completion dates are good-faith estimates, not guarantees, unless expressly stated as fixed in writing. They are calculated from the later of order acceptance, advance receipt, final approval, site readiness and receipt of required information.
PRAAVA is entitled to reasonable extensions for Client delays, revisions, late payments, supplier delays, shortage of materials or labour, quality rework, shipping disruption, customs, approvals, access restrictions, weather, strikes, governmental action or other events beyond reasonable control.
If the Client delays an approval, delivery, installation or site access, PRAAVA may resequence work and allocate capacity to other projects. Restart dates will depend on availability.
28Delivery, Storage, Title and Risk
Delivery terms, place, logistics responsibility and insurance will be stated in the order. Partial deliveries are permitted where reasonable.
Unless mandatory law provides otherwise, risk of loss or damage passes on delivery at the agreed location, handover to the Client’s nominated carrier, or the date the Goods are made available after the Client fails to accept delivery, whichever applies. Legal title remains with PRAAVA until full payment of all amounts relating to those Goods.
If delivery or installation is delayed for reasons attributable to the Client, PRAAVA may arrange storage at the Client’s cost and risk. Storage charges, insurance, double handling, deterioration caused by prolonged storage and redelivery costs are payable before release.
29Inspection, Delivery Damage and Claims
The Client should inspect Goods promptly on delivery and record visible shortage or transit damage on the delivery document before acceptance. Visible issues should be reported with photographs and packaging details within 48 hours; concealed issues should be reported promptly after discovery and, where reasonably possible, within 7 days.
These notification periods assist investigation and carrier recovery and do not remove any mandatory statutory right. The Client must preserve affected Goods and packaging and provide PRAAVA a reasonable opportunity to inspect before repair, disposal or third-party intervention.
30Installation and Site Readiness
Where installation is included, the Client must provide a secure, clean, weatherproof and accessible site; completed civil, flooring, painting and service works; safe power and lighting; clear access routes and lift capacity; permissions; storage; and suitable working conditions.
PRAAVA may postpone work where the site is unsafe, incomplete, congested, inaccessible or likely to damage the Goods. Additional visits, waiting time, protection, rectification, night work, special access equipment or work caused by other contractors may be charged.
PRAAVA is not responsible for damage caused by hidden services, unsuitable substrates, structural movement, moisture ingress, pests, other contractors or post-installation site work.
31Third-Party Goods, Suppliers and Client-Supplied Items
PRAAVA may source or coordinate Goods and services from specialist manufacturers and third parties. Where PRAAVA acts only as disclosed procurement or coordination agent, the third party’s warranty and terms may apply.
PRAAVA is not responsible for delay, defect or incompatibility in Client-supplied or independently purchased items, but will use reasonable efforts to coordinate them if included in the scope. Additional work caused by such items is chargeable.
32Warranty and Care
Any PRAAVA warranty period and scope will be stated in the order or warranty document. Manufacturer warranties will be passed through where available and permitted.
Unless expressly covered, warranty does not apply to natural variation, normal wear, ageing, fading, patina, minor settlement, misuse, overloading, impact, accidents, negligence, improper cleaning, water or moisture damage, direct sunlight, excessive heat, pests, mould, unsuitable environmental conditions, unauthorised repair or alteration, relocation, or installation by others.
The Client must follow care and maintenance instructions and allow reasonable access for assessment. A warranty claim does not suspend payment obligations.
33Defect Remedies
Where PRAAVA confirms a covered defect, PRAAVA may, subject to applicable law and practical feasibility, repair, replace, refinish, reperform or provide an appropriate credit for the affected part. A remedy may use a comparable material where the original is unavailable.
PRAAVA is not required to replace an entire set or project because of an issue limited to one component unless reasonably necessary. Removal, access, scaffolding, transport and reinstatement are included only if stated in the applicable warranty or required by law.
34Project Photography and Publicity
Subject to the project agreement, Client privacy and site-security requirements, PRAAVA may request access to photograph or film completed work for its portfolio, Website, social media, awards, editorial features and marketing.
PRAAVA will not intentionally disclose a private residential address, personal documents, security systems or confidential Client information. A Client wishing to restrict publication must notify PRAAVA in writing before photography; any agreed restriction should be recorded in the project agreement.
35Confidentiality
Each party must protect non-public commercial, technical and project information received from the other and use it only for the engagement. This obligation does not apply to information that is public without breach, already lawfully known, independently developed, received lawfully from another source or required to be disclosed by law.
PRAAVA may share necessary information with its employees, professional advisers, manufacturers, suppliers, installers, logistics partners and subcontractors who need it for the engagement and are subject to confidentiality obligations or professional duties.
36Design Ownership and Project Licence
All intellectual property created or supplied by PRAAVA—including concepts, designs, drawings, renders, specifications, schedules, samples, prototypes, CAD files, technical details, joinery details and product developments—remains owned by PRAAVA or its licensors unless an express written assignment states otherwise.
After full payment, the Client receives a limited, non-exclusive, non-transferable licence to use the final issued design documents solely for the commissioned site and purpose. The licence does not permit resale, replication at another site, third-party manufacture, modification, publication, tendering, reverse engineering or commercial exploitation without PRAAVA’s written consent.
Editable source files, manufacturing files, supplier identities, pricing structures, methods and working documents are not deliverables unless expressly listed and paid for.
37Supplier Introductions and Non-Circumvention (Commercial Clients)
PRAAVA invests in developing and maintaining its manufacturer, artisan and supplier network. A Commercial Client must not knowingly bypass PRAAVA to purchase directly, or through an intermediary, from a supplier or manufacturer first introduced by PRAAVA for the relevant project during the engagement and for 24 months afterwards, unless PRAAVA gives written consent.
This clause does not apply to a demonstrable pre-existing relationship disclosed to PRAAVA in writing before the introduction. If breached, PRAAVA may recover its demonstrable lost fees or margin and reasonable enforcement costs, rather than an arbitrary penalty, subject to applicable law.
38International Orders, Compliance and Ethical Conduct
International sales may be subject to separate delivery terms, Incoterms, export documentation, foreign-exchange requirements, sanctions, customs, duties, destination standards and insurance. Unless expressly included, the Client is responsible for import clearance, local taxes, permits and destination compliance.
Each party must comply with applicable anti-bribery, anti-corruption, trade-control and sanctions laws. PRAAVA may decline or suspend an order where performance may breach law, expose PRAAVA or its partners to regulatory risk, or involve a prohibited person, destination or end use.
Disclaimer, Liability & Legal Provisions
39General Disclaimer
To the maximum extent permitted by law, the Website and its content are provided on an "as available" and informational basis. PRAAVA does not warrant that Website information is complete, current, suitable for every purpose or free from error.
No Website content should be relied on as architectural, structural, engineering, electrical, plumbing, fire, legal, tax, financial or other regulated professional advice. Project-specific decisions should be based on the written scope, approved documents and advice from appropriately qualified professionals.
40No Guarantee of Identical Outcomes
Project outcomes depend on site conditions, approvals, workmanship by multiple parties, material batches, lighting, climate, maintenance and Client decisions. PRAAVA does not guarantee that a completed project or product will be identical to a Website image, sample, render, prior project or inspiration reference unless a specific measurable requirement is expressly agreed in writing.
41Limitation of Liability
Nothing in these Terms excludes liability that cannot lawfully be excluded or limited, including liability arising from fraud, wilful misconduct or any mandatory consumer or product-liability right.
Subject to the preceding sentence and to the maximum extent permitted by law, PRAAVA is not liable for indirect, incidental, special, punitive or consequential loss; loss of profit, revenue, opportunity, goodwill, business interruption or anticipated savings; or loss caused by Client delay, inaccurate information, third-party work, misuse, unauthorised modification or failure to follow instructions.
For a Commercial Client, PRAAVA’s aggregate liability arising from a particular claim or related series of claims will not exceed the amount actually paid to PRAAVA for the affected Goods or Services giving rise to the claim. Any higher or different cap must be expressly agreed in the signed project agreement.
42Indemnity for Misuse and Client-Caused Claims
To the extent permitted by law, a Commercial Client will indemnify PRAAVA against third-party claims, losses and reasonable costs arising from: (a) unlawful or unauthorised use of PRAAVA designs or Website content; (b) materials, instructions or intellectual property supplied by the Client; (c) unsafe site conditions or work under the Client’s control; (d) unauthorised modification, relocation or misuse of Goods; or (e) the Client’s breach of law or these Terms.
This indemnity does not apply to the extent a claim is caused by PRAAVA’s proven negligence, breach or unlawful conduct.
43Force Majeure
Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disaster, fire, flood, epidemic, war, terrorism, civil disturbance, strike, labour shortage, governmental action, import/export restriction, port congestion, transport interruption, cyber incident, utility failure, supplier failure or material shortage.
The affected party will use reasonable efforts to mitigate the impact. Payment obligations for Goods or Services already supplied, completed or irrevocably committed are not excused. If a force majeure event continues for a prolonged period, either party may discuss suspension, re-scoping or termination of the affected unperformed portion.
44Complaints and Grievance Redressal
Questions, complaints or warranty requests should be sent to the contact details in Schedule 1 with the order or project reference, description, date, photographs and supporting documents.
Where the Consumer Protection (E-Commerce) Rules, 2020 apply, PRAAVA will maintain a grievance mechanism, acknowledge a consumer complaint within 48 hours and endeavour to resolve it within one month, subject to the nature of the complaint and applicable law.
45Good-Faith Resolution and Arbitration for Commercial Disputes
The parties will first attempt in good faith to resolve a dispute through written notice and senior-level discussion for at least 15 days, unless urgent interim relief is required.
For disputes solely between PRAAVA and a Commercial Client that are legally capable of arbitration, the dispute will be finally resolved by a sole arbitrator mutually appointed under the Arbitration and Conciliation Act, 1996. The seat and venue will be New Delhi, India; the language will be English; and the proceedings may be conducted physically or electronically.
If the parties cannot agree on the arbitrator, appointment will be made in accordance with applicable law. Nothing in this clause prevents either party from seeking urgent interim protection from a competent court or restricts a Consumer from approaching a consumer commission or exercising any non-waivable statutory remedy.
46Governing Law and Jurisdiction
These Terms and non-contractual matters arising from them are governed by the laws of India.
Subject to the arbitration clause, mandatory consumer jurisdiction and any other non-waivable law, courts at New Delhi will have jurisdiction over disputes connected with these Terms. A clause selecting New Delhi courts does not remove any forum or venue that applicable consumer law requires to remain available.
47Updates to These Terms
PRAAVA may update these Terms to reflect changes in law, business practices, services or Website functionality. The updated version will be posted with a revised effective date. Changes apply prospectively and do not alter an already accepted order or signed project agreement unless the parties agree in writing or law requires otherwise.
48General Provisions
If a provision is held invalid or unenforceable, it will be limited or removed only to the minimum extent necessary and the remaining provisions will continue. A delay in enforcing a right is not a waiver.
The Client may not assign an engagement without PRAAVA’s written consent. PRAAVA may engage subcontractors and may assign receivables or transfer an engagement as part of a merger, restructuring or sale of the relevant business, subject to applicable law.
Nothing creates a partnership, employment, fiduciary or agency relationship except an agency expressly stated in writing. Headings are for convenience. Words such as "including" are illustrative and not limiting.
Provisions concerning payment, intellectual property, confidentiality, supplier protection, warranty exclusions, liability, indemnity, dispute resolution and accrued rights survive completion or termination.
